Welcome to Sonder. These Business Terms and Conditions ("Terms") govern your company's access to and use of the Sonder business platform. By using Sonder on behalf of your organization, you agree to these Terms. If you do not agree, you must refrain from using our services.

1. Definitions
"Sonder" refers to the app, software, website, and services offered by Sonder Official Vof.
"Business User" / "You" refers to any legal entity, organization, or authorized representative accessing the platform for commercial use.
"Content" means any media, text, data, or materials uploaded, shared, or generated via the platform by the Business User.
"Service" includes all business features, data analytics, content management tools, support, and access offered through the Sonder platform.

2. Business Eligibility
• You confirm that your business is legally established and authorized to operate in its jurisdiction.
• By registering, you declare that you have the authority to bind your business to these Terms.

3. Business Account Management
• You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
• All registration information must be accurate, current, and complete.
• You may not share access credentials outside your organization without authorization.
• We may suspend or terminate accounts in case of misuse or suspected unauthorized access.

4. Acceptable Use
You agree not to use the platform to:
• Violate any laws, regulations, or rights of third parties;
• Upload or distribute illegal, offensive, infringing, or deceptive content;
• Introduce malware, exploit platform vulnerabilities, or compromise system security;
• Harvest or misuse user or visitor data without explicit consent;
• Abuse, spam, or manipulate the platform or its recommendation algorithms.

5. Content Ownership and Licensing
• You retain all rights to content your business uploads to the platform.
• By submitting content, you grant Sonder a non-exclusive, worldwide, royalty-free license to host, display, analyze, and distribute the content solely within the platform and for promotional purposes related to your brand.
• Sonder may remove content that violates these Terms or applicable laws without prior notice.
• End-users cannot view or download each other's content unless it has been made accessible by the event organizer via the business interface.

6. Fees and Billing
• Certain features may be available through paid subscriptions or services.
• All payments are processed via secure third-party payment providers.
• Fees are non-refundable unless required by law or explicitly stated.
• You are responsible for applicable taxes, including VAT if required.

7. Data Protection and Privacy (GDPR Compliance)
• Use of Sonder is governed by our Privacy Policy.
• We process personal and business-related data in compliance with the EU General Data Protection Regulation (GDPR).
• As a Business User, you may upload personal data such as ticket files and visitor identifiers; you act as the data controller for this information.
• Sonder acts as a data processor, only processing personal data in accordance with your instructions.
• A mandatory Data Processing Agreement (DPA) is incorporated into these Terms (see Section 14) and applies to all data processing activities carried out by Sonder on your behalf.
• You are responsible for obtaining valid consent or providing notice to data subjects as required by GDPR.

8. Termination and Suspension
• Sonder may suspend or terminate your access if you breach these Terms or use the platform unlawfully.
• You may request termination at any time by contacting support.
• Upon termination, your access to platform features and stored content will cease immediately.

9. Warranty Disclaimer
• The platform is provided "as is" and "as available."
• We do not guarantee uninterrupted operation or that the service is free from errors or vulnerabilities.

10. Limitation of Liability
• To the maximum extent permitted by law, Sonder shall not be liable for indirect, incidental, punitive, or consequential damages.
• Our total liability shall not exceed the amount your business paid to us in the 12 months preceding the claim.

11. Changes to These Terms
• We reserve the right to update these Terms at any time.
• Substantial updates will be communicated via email or in-app notifications.
• Continued use of the platform after changes constitutes acceptance of the new Terms.

12. Governing Law and Jurisdiction
• These Terms are governed by Dutch law.
• Disputes will be submitted to the competent courts of Amsterdam, the Netherlands, unless mandatory law provides otherwise.

14. Data Processing Agreement (DPA)
This section forms a binding data processing agreement under Article 28 of the GDPR:
Subject Matter: Sonder processes personal data uploaded by the Business User solely to provide and improve the platform's services.
Duration: For the duration of the business relationship.
Nature & Purpose: Storage, analysis, and display of ticket and event-related data.
Categories of Data Subjects: Event attendees and related end-users.
Types of Data: Ticket metadata, email addresses, visitor codes, and engagement metrics.
Obligations of Sonder:
   - Only process data on documented instructions from the Business User.
   - Implement appropriate technical and organizational measures.
   - Ensure confidentiality and access controls.
   - Assist the Business User with data subject requests.
   - Notify the Business User without undue delay in case of a data breach.
   - Delete or return all personal data after termination, unless retention is required by law.
Subprocessors: Sonder may engage subprocessors; a list is available upon request.
